We invite you to join Professor Robert Baxt AO FAICDLife to discuss developments relating to the legal duties and responsibilities of directors and the impact of the growing push to make directors take on greater stakeholder interests in performing their obligations. Apart from updating recent significant legal rulings on the relevant issues Professor Baxt will discuss the growing, but not often supported by legal principles, ethically-based community expectations, impacting on the duties and “moral obligations” of directors. Some of the issues to be discussed will be:

  • What important legal rulings have emanated in recent years?
  • Do directors owe duties to stakeholders at large, and if so, on what legal basis?
  • What has changed in the fundamental operation of the law?
  • How has, or will, the law impose greater responsibility on directors?

In answering these questions Professor Baxt will also assess the validity of the growing impact and importance the broader community is placing on the question of corporate governance, and how this raises the risk of stifled entrepreneurship, business optimism and creativity.
